SUMMARY OF ANNUAL GENERAL MEETING 10th DECEMBER 2015

Quorum required = 20. Full members attending = 96 Attended (plus 19 by Proxy)

The President, Lincoln Boulton, took the chair and welcomed all present to 124TH Annual General Meeting of Leek Golf Club.

Before proceeding with the business of the meeting the Chair asked the 'meeting' to stand and observe one minute silence for those who had passed away since the previous AGM: Hilda Bowyer, Joan Bird, Gladys Byatt, John Massey, Paul Bradley, Charles McFadden, Nan Ireland, Bob Woollaston and Ted Lowell.

The Chair then asked for three volunteers from the floor to act as tellers, in the event that a ballot was required.

Ken Hollins, Alan Whitfield and Andy Damjanovic were appointed as tellers.

Agenda:

1. To read the notice convening the meeting - Taken as read. 
2. To read the minutes of the previous A.G.M. - Taken as read
3. To consider the Captain's Review - Taken as read
4. To consider the Directors' report - Taken as read

5. To consider the Accounts (herein) for the year ended 31st August 2015. The accounts were presented by Ken Hewitt, Hon. Treasurer. Proposed Captain, Seconded Hon. Treasurer that the accounts be accepted. Carried on a show of hands.

Proxy Voting - Before proceeding to Agenda Item 6 President invited Hon. Secretary to give a brief introduction to Proxy Voting.

Hon. Secretary gave details and confirmed that 95 members entitled to vote were in attendance and 19 members had validly appointed a proxy.

6. SPECIAL BUSINESS ARTICLE 35

To consider and (if thought fit) approve the budget for 2015/2016 (subject to sufficient funds being available) - Proposed Finance Chair, Seconded Hon. Treasurer that the budget be accepted. Carried on a show of hands.

7. SPECIAL BUSINESS ARTICLE 35

To consider and (if thought fit) approve individual items of Capital or other expenditure in excess of £15,000 that are not included in the budget for the financial year 2015/2016 - President confirmed that no such items of expenditure were being proposed.

Long Distance £370(Age reductions will apply, subject to qualification)

Intermediate 20% of full fee

Proposed Finance Chair, Seconded Hon Treasurer that the above subscriptions be approved. Carried on a ballot.

9. SPECIAL BUSINESS 
To confirm Entrance fees for 2016
Full £600. 
Long Distance £300 
Intermediate £250 
Junior £95. (Under 16 years) 
(Junior-period of membership concessions will be applicable as appropriate) 
House £5 
Proposed Finance Chair, Seconded Hon Treasurer that the above entrance fees be approved. Carried on a show of hands.

10. To elect Officers and appoint Auditors and Solicitors - The following appointments were approved: 
President - Roy Emery
Senior Vice President - John Cooper
Vice Presidents - Dave Allen, Brian Cockersole, Simon Nadin, Barry Hughes, Mike Wootton. 
Captain - Andrew Baxter. 
Vice-Captain - Phill Davies. 
Hon. Treasurer - Mick Moult. 
Hon. Match Secretary - Mick Barker. 
Hon. Solicitors - Messrs Bowcock & Pursaill
Auditors - Fearns Marriott Ltd
Committee - By agreement therefore no ballot necessary
Mike Andrews (3 years) 
Trevor Smedley (3 years) 
Frank Colclough (3 years) 
Jayne Baxter (1 year)

11. SPECIAL BUSINESS - SPECIAL RESOLUTION (75% majority required) Honorary Life Membership Proposed Hon. Secretary, Seconded Captain that the Company Articles be amended to allow non-members to be elected Honorary Life Members by a two-thirds majority of all directors, in recognition of exceptional golf achievement or a major contribution to Leek Golf Club or sport in general. Defeated on a ballot.

12. SPECIAL BUSINESS - SPECIAL RESOLUTION (75% majority required) To amend Company Articles to require "The roles and responsibilities of officers and members of the management committee be set out in writing and made readily available to members."

Proposed Hon. Secretary, Seconded Captain. Carried on a show of hands.

13. SPECIAL BUSINESS - SPECIAL RESOLUTION (75% majority required) To amend Company Articles to require "all sub-committees to have their terms of reference with roles and responsibilities set down in writing and made readily available to members. Furthermore, all sub-committees to annually review their operations to ensure compliance with best practice. In particular Greens Sub-Committee to adopt the principles set out in English Golf Union's- "Model Course Policy Document (May 2003 or equivalent)." 
Proposed Hon. Secretary, Seconded Captain. Carried on a show of hands.

THE TROLLEY CRASH CLUB

This week, we have a new member who has just joined this illustrious sub-Group. Dave Smith (Endon) managed to achieve this on the 11th hole, even managing to emulate Mick Barker`s achievement of putting it in the bunker.

Funny thing is at the last moment, he actually saw the trolley jump into the bunker and before playing his pitch to 3ft from the flag, shouted to his two playing partners that one of THEIR trolleys had run away. When they both denied it was their trolley, he still refused to believe that it was HIS trolley that had mis-behaved until he saw that he had to haul it out of the sand.

Dave regularly takes a brandy with his coffee on the 11th tee and this might have had something to do with this incident!

Dave then went on to three-putt from 3ft and blames the trolley for that! He went on to lose the Thursday Group`s "title" by 1 point and has asked Greg for his money back. Greg has offered him a free putting lesson instead and a refresher course on how to control a power trolley!
